Acceptance of Terms

By accessing and using JDW's services, placing orders, or engaging in business transactions with us, you accept and agree to be bound by the terms and provision of this agreement.

If you do not agree to abide by the above, please do not use this service or engage in business with JDW.

Company Information

JDW is a B2B manufacturer and exporter of premium wooden products, including kitchen utensils, wooden handles, puzzles, and craft materials, based in China.

We specialize in serving international wholesale customers, distributors, and business partners worldwide.

B2B Services Only

JDW provides services exclusively to business customers. Our products and services are not intended for individual consumers or retail purchases.

All orders must meet our minimum order quantities (MOQ) and are subject to business verification.

Orders and Quotations

Quotations: All quotations are valid for 30 days unless otherwise specified and are subject to availability and market conditions.

Order Confirmation: Orders become binding only upon written confirmation from JDW and receipt of required deposit.

Minimum Orders: All orders are subject to minimum quantity requirements which vary by product category.

Custom Products: Custom manufacturing orders require detailed specifications and may involve additional design and tooling fees.

Payment Terms

Payment Methods: We accept T/T (Telegraphic Transfer), L/C (Letter of Credit), and other mutually agreed payment methods.

Payment Schedule: Standard terms require 30% deposit upon order confirmation and 70% balance before shipment.

Currency: All transactions are conducted in USD unless otherwise agreed in writing.

Late Payments: Late payments may incur additional charges and may affect future credit terms.

Manufacturing and Delivery

Lead Times: Standard production lead times range from 15-45 days depending on order complexity and quantity.

Shipping: Products are shipped FOB China port unless otherwise agreed. Shipping costs and arrangements are typically buyer's responsibility.

Delays: JDW will make reasonable efforts to meet delivery dates but shall not be liable for delays due to force majeure or circumstances beyond our control.

Quality Assurance

All products are manufactured according to ISO 9001 standards and undergo rigorous quality control processes.

Products comply with relevant international safety standards and certifications including FSC certification for sustainable wood sourcing.

Quality issues must be reported within 30 days of delivery with supporting documentation and photos.

Intellectual Property

All designs, trademarks, and intellectual property related to JDW products remain the exclusive property of JDW.

Custom designs created for clients become joint property, with usage rights clearly defined in separate agreements.

Clients must ensure they have rights to any designs or specifications they provide to JDW for manufacturing.

Limitation of Liability

JDW's liability is limited to the value of the specific products in question and shall not exceed the total contract value.

JDW shall not be liable for indirect, consequential, or incidental damages including but not limited to loss of profits or business interruption.

Claims must be made in writing within the specified warranty period and supported by adequate documentation.

Confidentiality

JDW respects the confidentiality of client information and will not disclose proprietary information to third parties.

Both parties agree to maintain confidentiality regarding pricing, specifications, and business relationships.

This confidentiality obligation survives termination of the business relationship.

Governing Law

These terms are governed by the laws of the People's Republic of China.

Any disputes shall be resolved through arbitration in accordance with international commercial arbitration rules.

The parties agree to attempt resolution through good faith negotiation before pursuing formal dispute resolution.

Modifications

JDW reserves the right to modify these terms at any time with reasonable notice to existing clients.

Continued business relationship after notification of changes constitutes acceptance of modified terms.

Individual contract terms may supersede these general terms where specifically agreed in writing.
